Woodstock Homes Corp. is a housing cooperative, a not for profit corporation that is owned and controlled by us, the resident owners. The key aspect of our cooperative is the democratic control by the members in order to achieve agreed upon common objectives. With this in mind, the Nominating Committee is seeking members who wish to act as our volunteer board of directors, to be elected from the entire membership. The responsibility is to each of us, the members, to further the values of self-help, self-responsibility, democracy, and equality. Won’t you please consider the possibilities and commit to two years of democratic service for our community?

Board Member Descriptions

As President:
Section 6.1 POWERS AND DUTIES

The President shall be the Chief Executive Officer of the Corporation and act as chairman of the Board of Directors. He or she shall preside at all general meetings of the Corporation, shall execute with the Secretary, in the name of the Corporation, all deeds, bonds, contracts, notes and other obligations and instruments authorized by the Board of Directors to be executed and with the Secretary shall sign all stock certificates of the Corporation. The President shall call special meetings of the Board of Directors and of the Shareholders of the Corporation. The President shall also have other powers and shall perform such other duties as may be assigned to him or her by the Board of Directors and/or these Bylaws to ensure that all orders and resolutions of the Board of Directors are carried into effect. The President may, together with either the Vice President, Secretary, Treasurer, or Maintenance Director, sign all checks.

As Vice President:
Section 7.1 POWERS AND DUTIES

The Vice President shall be vested with all powers and perform all duties of the President in the absence or disability of the President. The Vice President shall also have such other powers and perform such other duties as may be assigned to him or her by the Board of Directors and/or these Bylaws. Should the President and the Vice President both be absent from any meeting, the directors shall select from their number a person to act as Chairman of the meeting. The Vice President may, together with either the President, Secretary, Treasurer, or Maintenance Director, sign all checks.

As Secretary:
Section 8.1 POWERS AND DUTIES

The Secretary shall keep the minutes of all the meetings of the Corporation and of the Board of Directors in books provided for that purpose. He or she shall attend to the giving and serving of notices of all meetings of the Shareholders and the Board of Directors. He or she shall execute with the President, in the name of the Corporation, all deeds, bonds, contracts and other obligations and instruments authorized by the Board of Directors to be executed and with the President shall sign all certificates of stock of the Corporation. He or she shall be the custodian of the corporate seal of the Corporation and when so ordered by the Board of Directors shall affix the seal to certificates of stock, deeds, bonds, contracts, and other obligations and instruments. He or she shall keep and have charge of the journals of the meetings of the Board of Directors and of the Shareholders, the stock certificate record book, the book of Bylaws and other such books and papers as the Board of Directors may direct. He or she shall oversee the day to day functions of the Corporation Office and the employees therein. He or she shall, in general, perform all the duties incident to the office of Secretary, subject to the control of the Board of Directors, and in the case of the absence of the Secretary an acting or temporary secretary may be appointed by the Board of Directors. The Secretary may with the approval of the Board of Directors delegate selected duties assigned to his or her office to the Office Manager with the exception of the signing of checks, stocks, deeds, bonds, contracts and other legal obligations and instruments assigned specifically to the Secretary by the Bylaws. The Secretary may, together with either the President, Vice President, Treasurer or Maintenance Director, sign all checks.

As Treasurer:
Section 9.1 POWERS AND DUTIES

The Treasurer shall keep or cause to be kept full and accurate accounts of the receipts and disbursements in a general ledger. He or she shall receive and deposit or cause to be received and deposited all monies and valuables of the Corporation in such depositories as may be designated by the Board of Directors. He or she shall disburse or cause to be disbursed the funds of the Corporation as may be directed by the Board of Directors. He or she shall take proper vouchers for such disbursements. He or she shall tender to the President and to the Board of Directors, whenever they may require, accounts of all his or her transactions as Treasurer and shall make full and accurate reports of all matters pertaining to this office to the Shareholders at the Annual Meeting. He or she shall make all reports required by law and shall do such other acts as are required subject to the control of the Board of Directors. The Treasurer may, together with either the President, Vice President, Secretary or Maintenance Director, sign all checks. The Treasurer may with the approval of the Board of Directors delegate selected duties assigned to his or her office to Office Manager, except the signing of all checks and other legal documents specifically assigned to the Treasurer by the Bylaws.

As Maintenance Director:
Section 10.1 POWERS AND DUTIES

The Maintenance Director shall assist Shareholders in the preparation of building modification and/or repair request forms, check progress of modifications and/or repairs in work and make final inspections of all completed projects. He or she shall be the primary Corporation representative and overseer of all contracted work projects such as the exterior painting of Corporation buildings, roofing contracts, underground utility or sewer system repairs, street repairs and any other such Corporation-sponsored repair work that may from time to time be assigned to him or her by the Board of Directors. The Maintenance Director may, together with either the President, Vice President, Secretary or Treasurer, sign all checks.
